Paksoy advises Sberbank on completion of the sale of its 99.85% stake in Denizbank

Sberbank of Russia has completed the sale of 99.85% of Denizbank's issued capital to Emirates NBD Bank, a leading UAE banking group, for a consideration of approximately USD 2.8 billion. A share purchase agreement had been signed on 21 May 2018, and subsequently amended and restated on 2 April 2019. The parties proceeded with completion on 31 July 2019 after obtaining clearance from the regulatory authorities in Turkey, Russia, the United Arab Emirates and other countries in which Denizbank operates.

Paksoy advises ISS Global Forwarding on the acquisition of OSF Lojistik assets

ISS Global Forwarding Taşımacılık A.Ş. (“ISS Turkey”), a subsidiary of Dubai based ISS Global Forwarding One Person Company LLC (“ISS Global”) has acquired certain assets from OSF Uluslararası Lojistik Hizmetleri Dış Ticaret A.Ş. (“OSF Lojistik”), a Turkish logistics company engaged in international carrier services, under an asset purchase agreement dated 27 June 2019. As part of the transaction, individuals holding majority shares of OSF Lojistik has acquired certain amount of shares of ISS Turkey, which was closed on 22 July 2019. The Turkish Competition Board cleared the transaction in its decision dated 23 May 2019. ISS Turkey is expected to expand its business to a large extent as a result of the transaction. Read more

Türkiye Sınai Kalkınma Bankası (TSKB), entered into a syndicated loan agreement for an amount of USD 177 million with the participation of twelve banks from various countries. EBRD’s EU funded project | Use of biofuels in all types of transport in Turkey

Paksoy is pleased to announce that Zeynel Tunc (Partner), Aslı Kehale Altunyuva (Counsel) and Tugba Tasci (Associate) contributed to EBRD’s European Union (EU) funded project regarding the feasibility study for the use of biofuels in all types of transport in Turkey led by global energy and commodity information company Argus. The final report on the study was presented on 8 May 2019 during a workshop in Ankara, Turkey with the participation of the EBRD, the Ministry of Energy and Natural Resources, and the main market players. The study provides Turkey’s market and legislative analysis to promote use of biofuels and reduce fossil fuel use in transportation. For the study, Paksoy team analysed the current regulatory framework for biofuels in Turkey, provided a gap analysis and discussed key policy areas that are missing and that would need to be developed for alignment with the EU.
